1. Agreement to these Terms

These Terms of Service (the "Terms") are a binding agreement between you and Lazy Pay LLC ("LazyPay," "we," "us"). They govern your use of our websites, applications, and services (the "Service"). By creating an account, joining our waitlist, or using the Service, you agree to these Terms and to our Privacy Policy and Messaging Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business, and "you" means that business.

If you do not agree to these Terms, do not use the Service.

2. What the Service is (and isn't)

LazyPay lets businesses ("Merchants") create payment requests, deliver them to their customers ("Clients") by text message and email, send automated follow-up reminders until payment, and accept payment through integrated methods including cards and bank transfers (processed by Stripe) and self-reported methods such as Venmo, cash, or check.

LazyPay is a software tool. We are not:

  • a bank, money transmitter, or payment processor — card and bank payments are processed by Stripe, and funds flow subject to Stripe's terms;
  • a debt collection agency — we send reminders about invoices you created, at your direction, in your business's name; we do not purchase debts, negotiate on your behalf, or take collection actions;
  • a party to the underlying transaction between you and your Client — the goods, services, amounts, and terms are yours alone.

3. Eligibility and accounts

  • You must be at least 18 years old and using the Service for business purposes.
  • You must provide accurate account and business information and keep it current.
  • You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at support@lazypay.com if you suspect unauthorized access.

4. Subscriptions, pricing, and the auto-adjusting plan

Plans

LazyPay is offered on monthly subscription tiers based on the number of unique Clients you contact in a billing month:

A "Client contacted" means one unique Client who receives at least one payment request or reminder from your account during a billing month, counted once regardless of how many messages that Client receives. Automated reminders are unlimited on every plan and never affect your tier.

Automatic plan adjustment

Your tier is determined by your actual usage each billing month. If you contact more Clients than your current tier includes, your plan automatically adjusts up to the matching tier for that month — your reminders are never blocked and no overage fees are charged. If you contact fewer, your plan automatically adjusts down to the matching tier. You will be billed at the tier corresponding to your usage without needing to request a change. Usage above 200 Clients per month requires an Enterprise agreement; contact hello@lazypay.com.

Introductory pricing

New accounts receive their first billing month for $1, with full access to the Service. After the first month, standard tier pricing applies based on your usage. One introductory month per customer; we may decline the offer to accounts created to abuse it.

Billing mechanics

  • Subscriptions are billed through Stripe. By subscribing you authorize recurring monthly charges to your payment method.
  • Fees are in US dollars and exclusive of any applicable taxes, which you are responsible for.
  • You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. We do not provide refunds or credits for partial months, except where required by law.
  • Payment processing fees charged by Stripe on Client payments are separate from subscription fees and are disclosed by Stripe.
  • We may change pricing with at least 30 days' notice; changes apply from your next billing period after the notice.

5. Your responsibilities as a Merchant

You instruct LazyPay whom to contact and about what. You agree that:

  • You have consent to contact your Clients. You will only add Client phone numbers and email addresses that you are legally entitled to use for payment communications, and you represent that each Client has provided any consent required by applicable law (including the Telephone Consumer Protection Act and CAN-SPAM Act) to be contacted at that number or address about amounts they owe you. You will promptly remove any Client who asks you to stop contacting them.
  • Your requests are truthful. Every payment request must reflect a genuine amount actually owed to you for goods or services, with accurate descriptions, amounts, and dates.
  • You are not using LazyPay for third-party debt collection. The Service may only be used to collect amounts owed directly to your business — not debts purchased from, or collected on behalf of, others.
  • You will honor payments. When a Client pays or a payment is confirmed, you are responsible for delivering what they paid for and for handling any refunds or disputes with them.
  • You comply with law, including consumer-protection, privacy, and messaging regulations that apply to your business.

You are solely responsible for your dealings with your Clients. You agree to indemnify LazyPay against claims arising from your breach of this Section (see Section 12).

6. Acceptable use

You may not use the Service to:

  • send messages to anyone without a lawful basis to contact them, or continue contacting anyone who has opted out;
  • harass, threaten, or abuse anyone, or send content that is deceptive, defamatory, obscene, or discriminatory;
  • request payment for illegal goods or services, or for transactions prohibited by Stripe's restricted-business list;
  • misrepresent your identity, impersonate another business, or claim amounts that are not genuinely owed;
  • probe, scan, or test the vulnerability of the Service, interfere with its operation, or access it by automated means except through interfaces we provide;
  • resell, sublicense, or white-label the Service without our written agreement.

We may investigate suspected violations and may suspend or terminate accounts that put the Service, our messaging reputation, or other users at risk — messaging compliance is existential for a service like ours, and we protect it vigorously.

7. Payments and Stripe

Card and bank payments are processed by Stripe, Inc. To receive such payments you must create a Stripe connected account and agree to the Stripe Connected Account Agreement, including the Stripe Terms of Service. LazyPay is not responsible for Stripe's services, availability, fees, holds, reserves, or payout timing. Self-reported payment methods (e.g., Venmo, cash, check) occur entirely outside the Service; LazyPay records what you or your Client report but cannot verify such payments.

8. Your content and our IP

You retain all rights to the information you submit to the Service (your business details, Client records, invoices, and logos). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display that content solely to operate and improve the Service. The Service itself — including software, design, and branding — is owned by LazyPay and protected by intellectual-property laws; we grant you a limited, revocable, non-transferable right to use it while these Terms are in effect. Any feedback you send us may be used without obligation to you.

9. Third-party services

The Service depends on third-party providers, including Stripe (payments), Twilio (SMS), Resend (email), and Supabase (infrastructure). Their services are subject to their own terms, and carrier delivery of SMS messages is not guaranteed. We are not liable for failures, delays, or changes in third-party services, though we will make reasonable efforts to route around them.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAZYPAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT MESSAGES WILL BE DELIVERED; OR THAT ANY CLIENT WILL PAY YOU. YOU USE THE SERVICE AT YOUR OWN RISK.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) LAZYPAY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) LAZYPAY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnification

You will defend, indemnify, and hold harmless LazyPay and its officers, directors, employees, and agents from and against any claims, damages, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your payment requests, invoices, or dealings with your Clients; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party — including claims that you contacted a person without required consent.

13. Suspension and termination

  • By you: cancel anytime from account settings. Scheduled reminders stop at the end of your billing period; you may export your records before closing your account.
  • By us: we may suspend or terminate your access immediately if you materially breach these Terms, create legal or messaging-compliance risk, fail to pay fees, or if we discontinue the Service (with reasonable notice where practicable).
  • Upon termination, your license to use the Service ends and Sections 8, and 10 through 16 survive. We will handle your data as described in the Privacy Policy.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of these Terms or the Service, and each party consents to their jurisdiction. Each party waives any right to a jury trial to the extent permitted by law. You may bring claims only in your individual capacity, not as a plaintiff or class member in any class or representative proceeding.

15. Changes to these Terms

We may update these Terms from time to time. For material changes we will give notice by email or in-app message at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree, cancel your account before the changes take effect.

16. Miscellaneous

These Terms, together with the Privacy Policy and Messaging Terms, are the entire agreement between you and LazyPay regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be sent to the email on your account; notices to us go to legal@lazypay.com.
